This document contains the standard terms and conditions for membership of GreenCyber. 

It is divided into two sections:

  • Corporate Membership Agreement: for organisations that wish to become members of GreenCyber. The corporate membership fee is £995 per year and provides rights to use the GreenCyber Charter and Logo in an organisational context, together with access to GreenCyber resources, events, and recognition as a corporate member.
  • Individual Membership Agreement: for individual members who join GreenCyber in their own personal capacity. The individual membership fee is £95 per year and provides access to GreenCyber resources, events, and limited personal use of the GreenCyber Logo and Charter.

By completing the relevant registration and payment process, members agree to be bound by the terms of the appropriate agreement.

CORPORATE MEMBERSHIP AGREEMENT

This agreement (Agreement) is a legal agreement between you (You) and Green Cyber Research Limited of 122 Bath Rd, Cheltenham GL53 7JX (GreenCyber, Us, We) for provision of the GreenCyber Services.

  1. Definitions
    • Customer (or You): means the individual or legal entity that enters into this Agreement with GreenCyber and is granted membership rights and access to the GreenCyber Services.
    • Data Protection Laws: means all laws and regulations applicable to the Processing of Personal Data under the Agreement, including those of the European Union, the European Economic Area and their member states, Switzerland, the United Kingdom including but not limited to the General Data Protection Regulation (EU) 2016/679 (as implemented or replaced in the UK).
    • GreenCyber Annual Fee: means the fee charged by GreenCyber to you for your membership of GreenCyber on an annual basis.
    • GreenCyber Charter: means the proprietary cybersecurity principles and framework developed and published by GreenCyber, which forms part of the GreenCyber Services.
    • GreenCyber Logo: means the official membership mark and visual identifier owned by GreenCyber and licensed to members for limited use as part of the GreenCyber Services.
    • GreenCyber Services: means the services provided by GreenCyber to you for your level of GreenCyber membership, for example the GreenCyber Charter and GreenCyber Logo.
    • Intellectual Property Rights: means copyrights (including copyright in computer software), database rights, rights in inventions, patent applications, patents, trademarks, trade names, know-how, service marks, design rights (whether registered or unregistered), trade secrets, rights in confidential information and all other industrial or intellectual property rights of whatever nature for the full duration of such rights, including any extensions or renewals, and whether existing now or in the future.
    • Personal Data: means any information relating to (i) an identified or identifiable natural person and, (ii) an identified or identifiable legal entity (where such information is protected similarly as Personal Data or personally identifiable information under applicable Data Protection Laws and Regulations).
  2. GreenCyber Membership
    1. In consideration of payment by you of the GreenCyber Annual Fee and subject to these terms and conditions, GreenCyber shall grant you:
      • Use of the GreenCyber Charter for internal and external cybersecurity communications; and
      • Use of the GreenCyber Logo for promotional, awareness, and compliance purposes, subject to the restrictions outlined herein; and
      • Access to GreenCyber resources, updates, and events as applicable.
  3. GreenCyber Charter
    1. The GreenCyber Charter is a proprietary framework and may be used by members:
      • For internal training and awareness activities.
      • To demonstrate a commitment to good cybersecurity practice.
      • In external communications that promote the Member’s alignment with GreenCyber principles.
    2. The Customer may not:
      • Alter or misrepresent the contents of the GreenCyber Charter.
      • Use the GreenCyber Charter in a way that could reasonably imply certification or endorsement beyond membership status.
  4. GreenCyber Logo
    1. Subject to the terms of this Agreement, the Customer is granted a non-exclusive, non-transferable, revocable license to use the GreenCyber Logo:
      • On the Customer’s website, email footers, and marketing materials.
      • As a visual indicator of participation in the GreenCyber programme.
    2. The Customer must:
      • Follow GreenCyber’s brand usage guidelines (to be provided separately).
      • Not use the GreenCyber Logo in a misleading manner or suggest endorsement by GreenCyber of any product, service, or practice unless explicitly agreed in writing.
    3. GreenCyber reserves the right to require removal or modification of GreenCyber Logo use that it deems non-compliant or detrimental to its reputation.
  5. Fees and Payment
    1. You shall pay the GreenCyber Annual Fee of £995 using the online secure payment service, which is operated by a third party and requires you to enter the details of a valid credit or debit card.
    2. The GreenCyber Annual Fee is exclusive of all taxes, levies, or duties imposed by relevant tax authorities and you shall be responsible for payment of all such applicable taxes, levies or duties.
    3. All orders placed under this Agreement by you are non-cancellable and all amounts paid by you to GreenCyber under this Agreement are non-refundable.
    4. You will be granted access to the GreenCyber Charter and GreenCyber Logo once payment has been made and received in full by GreenCyber.
  6. Term and Termination
    1. This Agreement will start on the date on which you make payment of the first GreenCyber Annual Fee and this is the date on which you are granted access to the GreenCyber Services, and shall continue for a period of twelve (12) months and thereafter shall automatically renew for successive twelve (12) month periods, unless and until terminated in accordance with this Clause 6.
    2. Either party may terminate this Agreement by providing thirty (30) days’ notice prior to the applicable annual renewal date.
    3. Either party may terminate this Agreement immediately by written notice to the other if the other party commits a material breach and such breach (where curable or remediable) has not been cured or remedied within thirty (30) days of a written notice from the non-breaching party requesting that the breaching party cure or remedy such breach. Where the material breach is not curable or remediable, termination shall be immediate on written notice from the non-breaching party to the breaching party.
    4. Either party may terminate this Agreement immediately by written notice in the event of bankruptcy or insolvency of the other party.
    5. Upon termination for any reason:
      1. You will no longer have access to the GreenCyber Services.
      2. You must cease using the GreenCyber Charter and GreenCyber Logo.
      3. All references to GreenCyber must be removed from marketing, websites, and materials.
      4. All rights granted to you under this Agreement shall cease.
      5. There shall be no refund of any fees paid pursuant to this Agreement.
  7. Intellectual Property Rights
    1. You acknowledge that all Intellectual Property Rights in the GreenCyber Service anywhere in the world belong to GreenCyber, and that you have no rights in, or to, the GreenCyber Service, other than the right to access and use it in accordance with the terms of this Agreement.
    2. You may reproduce the GreenCyber trademarks according to the terms of this Agreement. Such reproduction must be in accordance with accepted trademark practice, including identification of the trademark owner name. Such use of the trademark does not give you any right of ownership in the trademark.
  8. Liability
    1. Each Party shall indemnify and hold harmless the other Party from and against any losses, liabilities, damages, costs, and expenses (including reasonable legal fees) arising from any third-party claims resulting from its own negligence, wilful misconduct, or breach of this Agreement.
    2. Neither Party shall be liable to the other for any indirect, incidental, or consequential losses or damages, including loss of profits, revenue, or business, arising out of or in connection with this Agreement, whether in contract, tort, or otherwise.
    3. The total liability of either Party under this Agreement shall not exceed the total amount of fees paid or payable to GreenCyber in the twelve (12) months preceding the claim.
  9. Data Protection
    1. Each Party agrees to comply with all applicable data protection and privacy legislation, including the UK General Data Protection Regulation (UK GDPR) and the Data Protection Act 2018, in connection with the processing of any personal data under this Agreement.
    2. To the extent either Party processes personal data on behalf of the other, the Parties shall enter into a separate data processing agreement that reflects the requirements of Article 28 of the UK GDPR.
    3. Each Party shall implement appropriate technical and organisational measures to protect personal data against unauthorised or unlawful processing and against accidental loss, destruction or damage.
  10. General
    1. You may not transfer, assign, charge or otherwise dispose of this Agreement, or any of your rights or obligations arising under it, without the prior written consent of GreenCyber.
    2. All notices given by You to GreenCyber must be marked for the attention of the GreenCyber Chief Executive Officer and sent to support@greencyber.org. We may give notice to You at the email address you provided to GreenCyber when registering for the GreenCyber Service. Notice will be deemed received 24 hours after an email is sent with a delivery receipt.
    3. This Agreement is governed by English law. Any dispute arising from, or related to, any term of this Agreement shall be subject to the exclusive jurisdiction of the courts of England.
    4. This Agreement and any document expressly referred to in it represents the entire agreement between us in relation to the GreenCyber Service and supersedes any prior agreement, understanding or arrangement between us, whether oral or in writing.

INDIVIDUAL MEMBERSHIP AGREEMENT

This agreement (Agreement) is a legal agreement between you (You) and Green Cyber Research Limited of 122 Bath Rd, Cheltenham GL53 7JX (GreenCyber, Us, We) for provision of the GreenCyber Services. 

  • Definitions

    • Customer (or You): means the individual (not an individual entity) that enters into this Agreement with GreenCyber and is granted membership rights and access to the GreenCyber Services.
    • Data Protection Laws: means all laws and regulations applicable to the Processing of Personal Data under the Agreement, including those of the European Union, the European Economic Area and their member states, Switzerland, the United Kingdom including but not limited to the General Data Protection Regulation (EU) 2016/679 (as implemented or replaced in the UK).
    • GreenCyber Annual Fee: means the fee charged by GreenCyber to you for your membership of GreenCyber on an annual basis.
    • GreenCyber Certificate: means the official membership certificate, including the GreenCyber mark and visual identifier owned by GreenCyber and licenced to members for limited personal use.
    • GreenCyber Charter: means the proprietary cybersecurity principles and framework developed and published by GreenCyber, which forms part of the GreenCyber Services.
    • GreenCyber Logo: means the official membership mark and visual identifier owned by GreenCyber and licenced to members for limited personal use.
    • GreenCyber Services: means the membership services provided by GreenCyber, including access to the Charter, Certificate (for personal use), Logo (for personal use), updates, events, and resources.
    • Intellectual Property Rights: means copyrights (including copyright in computer software), database rights, rights in inventions, patent applications, patents, trademarks, trade names, know-how, service marks, design rights (whether registered or unregistered), trade secrets, rights in confidential information and all other industrial or intellectual property rights of whatever nature for the full duration of such rights, including any extensions or renewals, and whether existing now or in the future. 
    • Personal Data: means any information relating to (i) an identified or identifiable natural person and, (ii) an identified or identifiable legal entity (where such information is protected similarly as Personal Data or personally identifiable information under applicable Data Protection Laws and Regulations).

  • Membership Benefits

      1. In consideration of payment by you, or a third party on your behalf, of the GreenCyber Annual Fee and subject to these terms and conditions, GreenCyber shall grant you:

        1. Access to the GreenCyber Charter for personal learning, awareness, and advocacy purposes.

        2. Use of the GreenCyber Certificate and Logo as an individual member (e.g. on LinkedIn, CVs, personal websites, or email signatures) to demonstrate alignment with GreenCyber principles.

        3. Access to resources, updates, and events offered to individual members.

  • Restrictions

      1. You may not:

        1. Use the GreenCyber Charter, Certificate, or Logo to imply corporate accreditation, endorsement, or certification.

        2. Alter or misrepresent GreenCyber materials.

        3. Commercially exploit the GreenCyber Logo, Certificate, or Charter.

  • Fees and Payment

      1. You shall pay the GreenCyber Annual Fee of £95 using the online secure payment service, which is operated by a third party and requires you to enter the details of a valid credit or debit card. 

      2. All orders placed under this Agreement by you are non-cancellable and all amounts paid by you to GreenCyber under this Agreement are non-refundable.  

      3. You will be granted access to the GreenCyber Certificate and Logo once payment has been made and received in full by GreenCyber.

  • Term and Termination

      1. Membership begins on the date payment is received and continues for 12 months, renewing automatically unless cancelled with 30 days’ notice before renewal.

      2. Either party may terminate immediately in the event of breach, insolvency, or misuse of membership rights.

      3. Upon termination, you must cease using the GreenCyber Logo and remove references to membership.

  • Intellectual Property Rights

      1. You acknowledge that all Intellectual Property Rights in the GreenCyber Service anywhere in the world belong to GreenCyber, and that you have no rights in, or to, the GreenCyber Service, other than the right to access and use it in accordance with the terms of this Agreement.

  • Liability

      1. Neither party is liable for indirect or consequential loss.

      2. The total liability of either Party under this Agreement shall not exceed the total amount of fees paid or payable to GreenCyber in the twelve (12) months preceding the claim.

  • Data Protection

      1. Each Party agrees to comply with all applicable data protection and privacy legislation, including the UK General Data Protection Regulation (UK GDPR) and the Data Protection Act 2018, in connection with the processing of any personal data under this Agreement.

  • General

    1. You may not transfer this membership to another person.

    2. Notices will be sent to the email address provided at registration.

    3. This Agreement is governed by English law and disputes shall be subject to the exclusive jurisdiction of the English courts.
